The matrix version of algebraic Bethe ansatz is proposed for $R$-matrices with special structure. It is shown that $SO(N)$-invariant $R$-matrices acting in spinor representation of $SO(N)$ have this structure. The eigenvalues of corresponding transfer-matrices are calculated.
